Overview
With Federal Reserve and Office of the Comptroller of the Currency approvals in hand, the Capital One and Discover merger moves to completion in mid-May 2025. Capital One’s $35 billion stock-funded acquisition (Q4 2024, $149.4 billion in loan book) brings Discover (Q4 2024, $102.6 billion in loan book) and its strategic assets into the fold. The merger is poised to disrupt the credit card industry and payments in general. The potential of vertically integrating a new payments network and the perspective of two built-from-the-ground-up payment companies are significant. However, for this marriage to work, the latest business will need to contend with further consolidation in the payments business, the orchestration of two vastly different organizations, and the pressure to maintain a top industry position against a handful of dominant players.
